Platform Terms of Use

1. What this covers

These Platform Terms of Use govern access to the Clinical Enrollment Site OS at site.clinicalenrollment.com (the "Platform"): the coordinator referral queue, the site onboarding and agreement pages, the sponsor site report, and related tools operated by Clinical Enrollment, Inc. ("CE", "we"). They supplement, and do not replace, the Terms of Use for our main website and any written agreement between CE and your organization (including a signed site Memorandum of Understanding or a sponsor services agreement). If those agreements conflict with this page, the signed agreement controls.

2. Who may use the Platform

The Platform is for authorized personnel of clinical research sites working with CE, authorized sponsor personnel, and CE staff. Access is provided through personal or organization links and passcodes issued by CE. Those links are credentials: do not forward them outside your team, post them, or share them with anyone not authorized by your organization. Tell CE promptly if a link may have been exposed, and we will revoke and reissue it.

3. Patient information

Parts of the Platform display information about patients who asked CE to connect them with a research site, provided under the patient's own authorization and under your organization's agreements with CE. You may use it only for the clinical and administrative purposes those authorizations and agreements permit, you must limit use to the minimum necessary, and you must protect it as required by applicable law and by Section IV of your site's agreement with CE. Sponsor-facing pages display referrals by CE reference ID only and are designed not to reveal patient names or contact details.

4. Acceptable use

We log access and actions on the Platform (see the Privacy Notice) and may suspend or revoke access at any time to protect patients, sites, sponsors, or the service.

5. Electronic signatures

Where the Platform offers electronic signing (for example, the site agreement page), typing your name and submitting is your electronic signature under the U.S. ESIGN Act and equivalent state law, and you consent to transact electronically. We retain the signature record (name, title, timestamp, and network address).

6. No medical advice; operational data

The Platform coordinates referrals; it does not provide medical advice, and nothing on it is a substitute for the clinical judgment of investigators and site staff. Counts, statuses, and dates are operational data provided in good faith and may lag or contain errors; they are not a system of record for regulatory submissions.

7. Intellectual property

The Platform, including its design, text, and software, belongs to CE or its licensors. Your organization's data remains your organization's; you grant CE the rights needed to operate the service.

8. Disclaimers and limitation of liability

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, CE disclaims all warranties, and CE's total liability arising out of Platform use is limited to one hundred U.S. dollars or the minimum permitted by law, whichever is greater. Nothing here limits liability that cannot lawfully be limited, or the terms of a signed agreement between CE and your organization.

9. Governing law

These terms are governed by the laws of the State of Virginia, without regard to conflict-of-law principles, except where a signed agreement between CE and your organization states otherwise. Disputes follow the informal-negotiation and binding-arbitration process (AAA, Albemarle County, Virginia) described in the main Clinical Enrollment Terms of Use.
